Usage notes: The essential French expression avoir lieu means "to take place, to occur, to happen."

Par exemple…

Le marché a lieu dans la place le dimanche.   The market takes place in the plaza on Sundays.
Je n’ai pas assisté à la cérémonie qui a eu lieu ce matin.   I did not attend the ceremony that took place this morning.

Avoir lieu de means "to have grounds, good reason, legitimacy."

Tu as lieu de te plaindre.   You have good reason to complain.
Ces critiques n’ont pas lieu d’être.   Those complaints are groundless.
